Terms of Service

This Terms of Service (the “ToS” or “Agreement”) applies with respect to the usage of the website (the “website”) offered by Sambhavit Insurance Brokers Private Limited (the “Company”), a Company incorporated under the provisions of the Companies Act, 2013, registered as Direct Insurance Broker (Life and General) with IRDAI vide registration no: 807, Direct Broker Code: IRDAI/ DB 866/2021  with its registered office at Regus Business Centre Pvt. Ltd. 2nd /3rd /4th Floor, Duru House, Juhu Tara Road, Next to JW Marriot, Juhu, Mumbai – 400049.
 

Your usage of the website is subject to your explicit acceptance of these ToS and the attached Privacy Policy. Your acceptance of the same shall irrevocably and unconditionally bind you to comply with and abide by all the terms and conditions stipulated herein (unless otherwise made optional in writing). After your initial consent/acceptance this ToS supersede all previous oral and written terms and conditions (if any) and shall act as a binding agreement between the Company and You.

 

These ToS applies to all users of the website including without limitation vendors, buyers, customers, merchants, browsers and contributors of content

IF YOU DO NOT AGREE TO BE BOUND BY ALL CONDITIONS/CLAUSES CAPTURED IN THESE TOS, PLEASE DO NOT USE THE PLATFORM OR SERVICES.

  1. DEFINITIONS

    "Company," "we," "us," or "our" shall mean Sambhavit Insurance Brokers Private Limited.

    “Content” means and includes text, graphics, logos, button icons, images, trademarks, domain names, designs, software, architecture documentation, product/service specifications, proprietary research data and financial information etc., and information acquired, created, developed or licensed independently by us, prior to or outside the scope of this ToS and any improvement, modification, extension or other works thereof and all intellectual property rights thereto. 

    “Customer Data” means all electronic data, information, or other content (including information pertaining to End-Users and the content of any Messages), submitted or provided by or on behalf of a Customer to be stored, collected or processed by us in connection with a Customer’s authorised use of the website;

    “End User” means any user of the Customer’s platforms, goods, services, or applications;

    “Platform” shall mean the website, dashboard, and any other platform which may allow you to access and/or use the website via any device/medium;

    “You” or “Customer” shall mean any natural or legal person who is accessing the Company’s website;

     

  2. ASSENT AND ACCEPTANCE
    By using the website, you warrant that you have read and reviewed the ToS and you are agreed to bound by it. If you do not agree to bound by this ToS please leave the website immediately. The Company only agrees to provide this ToS to you if you assent to these ToS. Further based on the services obtained by the user additional terms and conditions with respect to specific services may apply which shall be deemed an agreement between You and the Company.
     

  3. UPDATION OF TERMS
    These ToS may be updated, amended, modified or revised by us from time to time. As a best practice, we encourage You to refer to these ToS from time to time to ensure that You are aware of any additions, revisions, amendments or modifications that we may have made.
     

  4. RULES AND CONDUCT
    As a condition of use, You promise not to use the service for any purpose that is prohibited by the ToS, by law, or other rules or policies implemented by us from time to time
     

  5. USE OF YOUR INFORMATION AND CONTENT
    All Customer Data that you create, transmit, transfer to us, submit, display or otherwise make available while using the website, should only be information that You own or have the right to use or share (as may be applicable). If you transfer any End-User information or data to us, we will assume that you have informed the End-User and procured the necessary consent for such transferring, sharing, processing and/or using the information in the way envisaged under the website. Such End-User information shall be as per the Privacy Policy.
     

  6. LICENSE TO USE WEBSITE
    The Company may provide you with certain information as a result of your use of website or services. Such information may include but is not limited to documentation, data or information developed by the materials which may assist you to use website or services (Company Materials). Subject to this ToS, the Company grants you a non-exclusive, limited and non-transferable and revocable license to use Company materials solely in connection with your use of website. You agree not to collect contact information of other users from the website or download a copy of any information by means of unsolicited access so as to communicate directly with them or for any other reason whatsoever. You agree not to by pass any measures use by the Company to prevent or restrict access to website.
     

  7. INTELLECTUAL PROPERTY
    You agree that website and all services provided by the Company are the property of the Company including all copyrights, trademarks, trade secrets, patents and other intellectual property (“Company IP”). You agree that the Company owns all rights, title and interest in and to Company IP and that you will not use Company IP for any unlawful or infringing purpose. You agree not to re-produce or distribute Company IP in any way including electronically or via registration of any new trademark, trade names, service marks or URL without express written permission of the Company.
     

  8. REVIEWS AND FEEDBACK
    You agree that we may contact You through telephone, email, SMS, or any other electronic means of communication for the purpose of:
    •    Obtaining feedback in relation to Platform or website; and/or
    •    Resolving any complaints, information, or queries received from you regarding the same; and you agree to provide your fullest cooperation further to such communication by Company.
     

  9. ACCEPTABLE USE 
    You agree not to use the website or services for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the website in any way that could damage the website, services or general business of the Company. 
    You agree not to website or services:
    a.    to harass, threaten other users or violate any person’s legal right;
    b.    to violate any Company IP or any third party;
    c.    to perpetrate any fraud;
    d.    to unlawfully gather information about others;
    The Company may but have no obligation to monitor, edit or remove content that the Company determines in its sole discretion are unlawful, offensive or otherwise objectionable or violates any party’s intellectual property or these ToS.
     

  10. SUPPORT
    The Company offers email-based/online support and query-resolution tools. You may access support resources or contact our support by emailing at hello@sambhavit.com  The Company shall use commercially reasonable best efforts to respond to Your request for support, or to fix any problems You may be having, as is applicable. Any suggestions by the Company to you regarding use of website shall not be construed as a warranty.
     

  11. TERMINATION
    The Company reserves the right to suspend or terminate your access to website with or without notice and to exercise any other remedy available under law, in cases where, 
    1.    You are in breach of any terms and conditions of this ToS; 
    2.    The Company is unable to verify or authenticate any information provided to Company by you;
    3.    The Company has reasonable grounds for suspecting any illegal, fraudulent or abusive activity on your part; or
     

  12. REVERSE ENGINEERING AND SECURITY
    You agree not to undertake any of the following actions:
    a)    reverse engineer or attempt to reverse engineer or dissemble any code or software from or on the website or services;
    b)    violate the security of website or services through any unauthorized access, data mining, circumvention or encryption or any security tools or interference to any host, user or network.
     

  13. SPAM POLICY
    You are strictly prohibited from using the website or any of the Company services for illegal spam activities including gathering emails and personal information from others or sending any mass commercial emails.  
     

  14. PRESS AND THIRD PARTY LINKS
    The Press section of the website may contain news and other articles that have been sourced from newspapers, magazines and third-party web sites. The Company does not claim any rights in such articles, including copyrights and other intellectual property rights, except for such rights that have been expressly granted to the Company. 

    Such articles have been published on the website for information or promotion purposes only and the Company hereby disclaims any and all liability in connection therewith.

    The Company may occasionally post links to third party websites or other services. You agree that the Company is not responsible for any damages caused as a result of your use to third party websites or other services linked to website.
     

  15. INDEMNITY
    You agree to defend, indemnify, and hold harmless Company, their officers, directors, employees and agents, from and against any loss or damage (including reasonable attorneys' fees) incurred in connection with any claims, actions or demands, resulting from your use of the website. If you are dissatisfied from website or services or any portion thereof or do not agree with this ToS, your only recourse and exclusive remedy is to stop using website.
     

  16. NO WARRANTIES
    All materials on the website are provided on "AS IS" basis. Company makes no representations or warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title or non-infringement. as to documents and graphics published on the website. Company makes no representation or warranty that the contents of such document or graphics are free from error or suitable for any purpose; nor that implementation of such contents will not infringe any third party patents, copyrights, trademarks or other rights. please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
     

  17. LIMITATION ON LIABILITY
    In no event shall Company, be liable to any party for any direct, indirect, consequential, (including lost profits or loss of good will) incidental, exemplary or special damages howsoever cause in connection with any use of the website, or on any other hyperlinked web site, including, without limitation, any business interruption, loss of programs or other data on your information handling system or otherwise, even if Company had advised of the possibility of such damages in writing. 
     

  18. GOVERNING LAW
    This Agreement is construed and given effect to in accordance with the laws of India.
     

  19. ENTIRE AGREEMENT
    This Agreement together with its Schedules (if any) sets forth the entire agreement and understanding between the Parties with respect to the subject matter hereof and merges all discussions and negotiations between them and expresses the complete, exclusive and final understanding between the Parties with regard to the subject matter contemplated herein.
